Terms of Service

Effective date: 10/11/2026 · Last updated: 10/11/2026

Agreement to these terms

These Terms of Service govern your use of Quotefern, operated by Antoine Shirley. By creating an account or using the app, you agree to these terms. If you do not agree, do not use the service.

Who can use Quotefern

You must be 18 or older to use Quotefern. By using the service, you confirm that you meet this requirement and that you may enter binding agreements under applicable law.

Your account

You are responsible for keeping your account credentials secure and for all activity under your account. You are responsible for the proposals you create and send, and for the accuracy of the information you enter.

Plans and billing

Quotefern offers a Free plan and a Pro plan.

  • Free plan: 3 proposals total at no cost.
  • Pro plan: $10 per month, billed monthly through Stripe. You can cancel anytime from the Manage subscription button.

Cancellation takes effect at the end of your current billing period. You keep access until then. Unless required by law, we do not give partial-month refunds for time left after cancellation.

Acceptable use

You agree not to use Quotefern to create or send content that is illegal, deceptive, infringing, harassing, or that violates the rights of others. You are responsible for the proposals you send and for having the right to share any information they contain.

AI-generated content

Proposals are drafts created by an AI model from the notes you enter. The AI can make mistakes, leave gaps, or produce text that does not fit your job.

  • You must review and edit every proposal before sending it to a client.
  • You are solely responsible for the prices, scope, licensing, insurance, warranties, and legal compliance of any proposal you send.
  • Quotefern does not guarantee that any proposal will win work or be accurate or complete.

Not legal, financial, or contracting advice

Quotefern provides software to help you draft proposals. It does not provide legal, financial, or contracting advice, and a proposal is not a substitute for a reviewed contract. For binding agreements, insurance, or licensing questions, consult a qualified professional.

The Approve button

The Approve button on a shared proposal only shows that a client wants to move forward. It is not a signed contract and does not create a legally binding signature. Any formal contract is between you and your client, outside of Quotefern.

Your content

You own the proposals and other content you create. You give us only the permission needed to run the service — to store, process, and send your proposals as you direct, and to send your proposal text to an AI provider to generate drafts. We will not claim ownership of your content.

Our service

Quotefern, including its name, logo, and software, is owned by Antoine Shirley. We may change or stop any part of the service at any time, and we are not liable to you for those changes except as described in these terms.

Suspension and termination

We may suspend or end your account if you misuse the service, break these terms, or create a risk to us or other users. You can close your account at any time.

Disputes with your clients

Quotefern helps you draft and send proposals. We are not a party to any agreement between you and your client, and we are not responsible for disputes, non-payment, or work issues between you and your clients.

Service provided "as is"

The service is provided "as is" and "as available." To the extent allowed by law, we disclaim all warranties, including any promise that the service will be uninterrupted, error-free, or fit for a particular purpose.

Limitation of liability

To the extent allowed by law, our total liability for any claim arising from your use of Quotefern is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages, or for lost profits, beyond that limit.

Governing law

These terms are governed by the laws of the State of Pennsylvania, USA, without regard to its conflict-of-law rules. Any disputes will be resolved in the courts located in Pennsylvania.

Changes to these terms

If we change these terms, we will update the "Last updated" date at the top of this page. Your continued use of Quotefern after the change means you accept the updated terms.
